Good afternoon, ladies and gentlemen. My name is Clive Johnson, President and CEO of B2Gold, and it's my pleasure to welcome you and to call to order the 2022 Annual General and Special Meeting of the shareholders of B2Gold.

As a result of heightened health and safety concerns related to the COVID-19 pandemic, we are also hosting the meeting through a virtual platform, accessible to all our shareholders who have followed the procedures described in the information circular to participate, submit questions and vote regardless of physical location.

I will act as chair of this meeting and appoint Roger Richer, on my left, Executive Vice President, General Counsel and Secretary of the company, to act as recording secretary of this meeting; and Anita Basi of Computershare Investor Services Inc. to act as scrutineer for this meeting.
