HCA Healthcare, Inc. (NYSE:HCA, Financial), one of the nation’s leading healthcare providers, today announced that Wendy Warren, a more than 10-year veteran of HCA Healthcare, has been appointed senior vice president and chief ethics and compliance officer, effective March 3, 2025. Warren succeeds Kathi Whalen, who is retiring after 27 years with the company.
Warren will lead the company’s ethics, compliance and regulatory department ensuring the company continues the high standards of our code of conduct while supporting colleagues in delivering outstanding patient care.

Warren previously served as associate general counsel and vice president of payer contracting and alignment and Parallon. During that time, she provided operational leadership for the legal department and guidance on all aspects of HCA Healthcare’s relationships with managed care payers and spearheaded key responses to major regulatory and legislative initiatives. Prior to joining HCA Healthcare, Warren was a partner at Bass, Berry & Sims, specializing in litigation of commercial disputes.
Warren is a graduate of Fisk University and earned her Doctor of Jurisprudence degree from The University of Texas School of Law.
Whalen, who has been with HCA Healthcare since 1998, helped develop the company’s code of conduct, policies and procedures, annual training and education. In addition to serving as senior vice president and chief ethics and compliance officer, Whalen was also chair of HCA Healthcare’s Sustainability Steering Committee.
