Eric Aboaf to Join S&P Global as CFO in Early 2025

S&P Global Inc. (SPGI, Financial) has announced the appointment of Eric Aboaf as its new Chief Financial Officer, effective February 2025, with a latest start date of March 25, 2025. Aboaf, who is currently serving as the CFO and Vice Chairman at State Street Corporation, brings a wealth of experience in global financial strategy and finance functions.

In his new role at S&P Global, Aboaf will receive an annual base salary of $825,000. He will also participate in the company's Key Executive Short-Term Incentive Compensation Plan, with a target incentive opportunity of $1,800,000, prorated for 2025 based on his employment duration. Additionally, Aboaf will be granted annual equity-based awards for 2025, with a target incentive opportunity of $6,500,000, divided between performance share units (PSUs) and time-based restricted stock units (RSUs).

To compensate for the forfeiture of compensation from his current employer, Aboaf will receive a one-time signing bonus of $2,400,000, payable within sixty days of his start date. This bonus is subject to repayment if he voluntarily leaves the company or is terminated for misconduct within twelve months of his start date. Furthermore, Aboaf will receive a one-time equity award of $5,900,000, comprising RSUs and PSUs, contingent upon documentation of equity forfeitures from his previous employer.

The RSU portion of the equity award will vest in three equal installments over three years, while the PSU portion will vest at the end of a three-year performance period, contingent on achieving financial performance metrics set by the Compensation Committee. Aboaf will also be eligible for continued vesting of outstanding RSUs and PSUs upon retirement, subject to certain conditions.
